InfyNote Terms of Service
Last Updated: August 2026
These Terms of Service ("Terms") govern your access to and use of the InfyNote platform, website, applications, and related services (collectively, the "Service") provided by InfyNote, LLC ("InfyNote," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Eligibility
You must be at least eighteen (18) years old and capable of entering into a legally binding agreement to use the Service.
If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

5. Organization Data
Customers retain ownership of all data submitted to the Service ("Organization Data").
By using the Service, customers grant InfyNote a limited license to host, store, process, transmit, and display Organization Data solely as necessary to provide the Service.
InfyNote does not acquire ownership rights to Organization Data.
Where Customer is a HIPAA Covered Entity (or a Business Associate of one) and Organization Data includes Protected Health Information ("PHI"), InfyNote acts as Customer's Business Associate with respect to that PHI, and the parties' Business Associate Agreement ("BAA"), where executed, governs InfyNote's handling of PHI. Customer remains the Covered Entity and is solely responsible for its own uses and disclosures of PHI.
InfyNote engages subprocessors to provide the Service — including cloud infrastructure and storage, email delivery, SMS messaging, and AI processing. InfyNote requires each subprocessor that may process PHI on its behalf to be bound by a Business Associate Agreement or equivalent data-protection terms. A current list of subprocessors is available upon request.
6. AI Features
InfyNote may offer artificial intelligence features that generate:
- Summaries
- Reports
- Recommendations
- Suggested documentation

AI-generated content is provided for informational assistance only.
Customers remain solely responsible for:
- Reviewing AI output

InfyNote does not guarantee the accuracy, completeness, or suitability of AI-generated content.
7. Third-Party Integrations
The Service may integrate with third-party providers including, but not limited to:
- QuickBooks Online
- Gusto
- Payroll providers
- Accounting systems
- Workforce management platforms
- Email providers
When a Customer authorizes an integration:
- The Customer grants permission for data exchange between InfyNote and the connected provider.
- The Customer is responsible for maintaining permissions with the third-party provider.
- The Customer may disconnect integrations at any time.
InfyNote is not responsible for third-party products, services, downtime, policy changes, or data processing practices.
8. Administrative Authority for Integrations
Connections to third-party payroll, accounting, scheduling, or workforce systems may only be initiated by an authenticated administrator of the Customer's organization.
By connecting a third-party service, the administrator represents and warrants that they have the authority to authorize InfyNote to exchange information with the connected provider on behalf of the organization.
InfyNote relies on this representation when accepting integration connections.
The Customer is responsible for ensuring administrator access is granted only to individuals authorized to make such decisions.
9. QuickBooks Online Integration
When authorized by an administrator, InfyNote may interact with QuickBooks Online through Intuit APIs.
Depending on functionality used, InfyNote may:
- Retrieve employee information
- Retrieve company identifiers
- Create approved time activity entries

- Support payroll-related workflows
All QuickBooks access is controlled through OAuth authorization provided directly by Intuit.
Customers may revoke access through either InfyNote or QuickBooks.

Depending on functionality used, InfyNote may:

Customers agree to pay all applicable fees associated with their selected subscription plan.
Subscription fees:
- Are billed in advance
- Are non-refundable except where required by law
- May be modified upon reasonable notice
Failure to pay may result in suspension or termination of Service access.
13. Data Exports and Downloads
Authorized users may export, download, print, or transmit information from the InfyNote platform.
Customers are responsible for:
- Selecting appropriate recipients
- Ensuring recipients are authorized
- Choosing appropriate transmission methods
- Complying with applicable privacy and security obligations
Once information is exported from InfyNote, the organization's handling and disclosure practices govern the subsequent use of that information.
By exporting, downloading, printing, or emailing any document generated through InfyNote — including but not limited to incident reports, behavioral reports, monthly summaries, client files, daily reports, and AI-generated summaries — Customer acknowledges that the resulting document may contain Protected Health Information. Customer is solely responsible for: (a) selecting an appropriate and authorized recipient; (b) the channel of transmission; (c) the recipient's subsequent handling of the document; and (d) compliance with the HIPAA minimum-necessary standard for the disclosure. InfyNote's responsibility for the document ends at the point of secure delivery to the Customer-designated recipient or to the device used by the Customer-authorized user.
14. Intellectual Property
The Service, including software, designs, workflows, trademarks, content, and technology, is owned by InfyNote or its licensors.
Except as expressly permitted, customers may not copy, modify, distribute, resell, or reverse engineer any portion of the Service.

16. Service Availability
InfyNote strives to maintain reliable platform availability.
However, the Service is provided on an "as available" and "as is" basis.
InfyNote does not guarantee uninterrupted access and may experience outages, maintenance periods, security events, or third-party service interruptions.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
INFYNOTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFYNOTE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
INFYNOTE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO INFYNOTE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
19. Indemnification
Customers agree to defend, indemnify, and hold harmless InfyNote, LLC, its officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses arising from:
- Customer use of the Service

Updated versions become effective upon posting.
Continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
23. Governing Law
These Terms shall be governed by and interpreted under the laws of the State of Wisconsin, without regard to conflict-of-law principles.
24. SMS/Text Messaging Program
InfyNote offers an optional SMS text-messaging program for account security. By enabling SMS two-factor authentication and providing a mobile number, you consent to receive one-time verification codes from InfyNote by text message. These messages are transactional account-security messages only and are never marketing or promotional.
Message frequency varies and depends on your sign-in and account activity. Message and data rates may apply. You may opt out at any time by replying STOP to any message, and may reply HELP for assistance. Opting out of SMS may require you to use an alternative two-factor authentication method to keep your account secure.
Mobile numbers and SMS opt-in consent are used solely to deliver the messages you have requested and are not shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details on how we handle this information. Message delivery is subject to your mobile carrier, and carriers are not liable for delayed or undelivered messages.
